TERMS OF USE FOR ONLYPALS

These Terms of Use ("Terms") govern your access to and use of the OnlyPals mobile application (the "App") operated by Digital Den LLC ("we," "our," or "us"). By downloading, installing, or using OnlyPals, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. ELIGIBILITY

You must be at least 13 years of age to use OnlyPals. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to terminate accounts that we reasonably believe belong to users under 13.

1. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation

To use OnlyPals, you must create an account using phone-based SMS verification. You agree to provide accurate information and to keep your account credentials secure.

2.2 Account Responsibility

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately. We are not liable for any loss resulting from unauthorized access to your account.

2.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to abuse features such as referral codes, challenges, or XP rewards may result in suspension or termination.

1. USE OF THE APP

3.1 Permitted Use

OnlyPals is a personal accountability and social motivation platform. You may use the App to:

• Adopt and track daily Points (personal accountability actions)

• Claim Points and earn XP through morning and evening check-ins

• Build and maintain streaks

• Participate in challenges and leaderboards

• Connect with Pals for social accountability

• Share your location with all connected Pals via the Proximity feature

• Set and upload a custom profile photo

3.2 Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose

• Harass, bully, threaten, or intimidate other users

• Upload offensive, explicit, or inappropriate content as a profile photo

• Impersonate another person or misrepresent your identity

• Attempt to manipulate XP, streaks, challenge rankings, or leaderboard positions through automated means, scripts, or exploits

• Create fake accounts or use bots to interact with the App

• Interfere with or disrupt the App's infrastructure, servers, or networks

• Reverse engineer, decompile, or disassemble any part of the App

• Scrape, harvest, or collect data about other users without authorization

• Use the Proximity feature to stalk, track, or monitor another person without their knowledge or consent

3.3 Content Standards

Any content you submit (profile photos, display names, notes on Point claims) must not contain:

• Hate speech, discriminatory language, or slurs

• Sexually explicit or pornographic material

• Graphic violence or threats of harm

• Spam, advertising, or solicitations

• Personal information of third parties without their consent

We reserve the right to remove content and suspend accounts that violate these standards without prior notice.

1. POINTS, XP, AND VIRTUAL REWARDS

4.1 Nature of Virtual Items

Points, XP, streaks, levels, badges, and other virtual rewards within the App have no monetary value and cannot be exchanged for cash, credit, or any form of real-world currency. They exist solely as motivational tools within the App.

4.2 No Guarantee of Availability

We may modify, reset, or remove virtual reward systems at any time without notice. This includes changing XP values, streak mechanics, challenge reward structures, or Point availability.

4.3 Streak Mechanics

Streaks are calculated based on daily Point claims relative to your timezone. Streaks reset automatically if no Points are claimed within a calendar day. Streak freezes, where available, are a premium feature and are subject to limitations (e.g., one per week). We are not responsible for streaks lost due to app bugs, server outages, timezone changes, or device issues, though we will make reasonable efforts to address such situations.

4.4 Fair Play

You agree to earn XP and progress through legitimate use of the App. Any attempt to artificially inflate progress, exploit bugs for advantage, or manipulate challenge outcomes may result in account suspension, XP adjustment, or permanent ban.

1. CHALLENGES AND LEADERBOARDS

5.1 Challenge Participation

Challenges are curated and managed by OnlyPals. By participating in a challenge, you agree to its rules and goals as displayed in the App. Challenge targets may be pro-rated for late joiners.

5.2 Leaderboard Rankings

Leaderboard rankings are based on Point claim progress and are updated in real time. Rankings are provided for motivational purposes and do not constitute a competition with prizes unless explicitly stated.

5.3 Modifications

We reserve the right to modify, pause, or end any challenge at any time, including adjusting goals, duration, or rewards. In such cases, we will make reasonable efforts to communicate changes to participants.

1. SOCIAL FEATURES AND PAL CONNECTIONS

6.1 Pal Connections

You can connect with other users ("Pals") through friend codes, referral links, or contact matching. By connecting with a Pal, you agree to share certain activity data (display name, profile photo, Point activity, streaks, and challenge progress) with them.

6.2 Proximity and Location Sharing

The Proximity feature stores your location so that all connected Pals who also have Proximity enabled can detect when you are nearby. Proximity is a global, mutual system — when enabled, it applies to all of your Pal connections (there is no per-Pal opt-out for Proximity). Both users must have Proximity enabled for nearby detection to work. When two Pals are detected within range, both users receive a push notification.

Location tracking continues in the background even when the App is not actively open, and updates when you move approximately 200 meters or every 15 minutes, whichever occurs first.

The Pal Map is a separate feature that allows you to view the precise map position of Pals on a map. Pal Map visibility is controlled by individual per-Pal sharing toggles — you choose which specific Pals can see your position on the map, and they choose whether to share theirs with you.

Location data is:

• Entirely opt-in (Proximity is off by default)

• Used for mutual nearby detection between all connected Pals, never shared with strangers

• Revocable at any time by toggling the feature off, which stops background tracking and marks your location as inactive

• You are solely responsible for your decision to enable Proximity and Pal Map sharing. We are not liable for any consequences arising from your use of these features.

6.3 Kudos and Interactions

You may send kudos (emoji reactions) to Pals on their activity. All social interactions must be respectful and in accordance with the Prohibited Conduct outlined in Section 3.2.

6.4 Blocking and Removing Pals

You may remove a Pal connection at any time. Removing a Pal revokes their access to your activity data and location.

1. SUBSCRIPTIONS AND PAYMENTS

7.1 Free and Premium Tiers

OnlyPals offers both free and premium features. Premium features may include multiplayer challenges, leaderboard access, streak freezes, and other functionality as described in the App.

7.2 Billing

Premium subscriptions are billed through the Apple App Store. By purchasing a subscription, you agree to Apple's payment terms. All billing, renewals, and cancellations are managed through your Apple ID account settings.

7.3 Pricing Changes

We may change subscription pricing at any time. Existing subscribers will be notified before any price change takes effect for their next billing cycle.

7.4 Refunds

Refund requests are handled by Apple in accordance with their refund policies. We do not process refunds directly.

7.5 No Obligation

Free users have no obligation to subscribe. Core accountability features (Point tracking, streaks, check-ins) are available without a subscription.

1. INTELLECTUAL PROPERTY

8.1 Our Property

The App, including its design, code, features, content, branding, and all associated intellectual property, is owned by Digital Den LLC. You may not copy, modify, distribute, or create derivative works based on the App without our written permission.

8.2 Your Content

You retain ownership of content you submit (profile photos, display names, notes). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and store that content solely for the purpose of operating the App.

8.3 Feedback

Any suggestions, ideas, or feedback you provide about the App may be used by us without obligation or compensation to you.

1. DISCLAIMERS

9.1 "As Is" Basis

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Health or Professional Advice

OnlyPals is a motivational and accountability tool. It does not provide medical, health, fitness, psychological, or professional advice. Point categories such as "Fitness," "Wellness," and "Avoid" are self-reported personal goals and are not supervised by licensed professionals. Consult appropriate professionals before making health-related decisions.

9.3 Availability

We do not guarantee uninterrupted or error-free operation of the App. The App may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.4 Third-Party Services

The App relies on third-party services (Firebase, Apple App Store). We are not responsible for the availability, performance, or policies of these services.

1. .LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

• We are not liable for lost streaks, XP, challenge progress, or other virtual items due to technical issues, outages, or bugs.

• We are not liable for actions taken by other users, including misuse of the Proximity feature.

• Our total liability for any claim related to the App shall not exceed the amount you paid us in subscription fees during the 12 months preceding the claim, or $50, whichever is greater.

1. .INDEMNIFICATION

You agree to indemnify and hold harmless Digital Den LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any third-party rights

• Content you submit through the App

1. .TERMINATION

12.1 By You

You may stop using the App and request account deletion at any time through the App's settings or by contacting us.

12.2 By Us

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms

• Fraudulent or abusive behavior

• Prolonged inactivity (accounts inactive for more than 12 months may be subject to deletion after notice)

• Any reason at our sole discretion

12.3 Effect of Termination

Upon termination, your right to use the App ceases. Any XP, streaks, Points, and other virtual items associated with your account will be forfeited. Sections of these Terms that by their nature should survive termination will remain in effect.

1. .DISPUTE RESOLUTION

13.1 Governing Law

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing any formal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

Any dispute that cannot be resolved informally shall be settled by binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

13.4 Small Claims Exception

Either party may bring an individual action in small claims court if the claim qualifies.

1. .CHANGES TO THESE TERMS

We may update these Terms at any time. When we do, we will update the "Last Updated" date and notify you through the App. Continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, your remedy is to stop using the App and delete your account.

1. .GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digital Den LLC regarding your use of the App.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.

15.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Digital Den LLC.
